Terms of Service

These Terms of Service (“Terms”) govern use of the website at verdyan.com and online purchases of services offered by The Verdyan Group (“Verdyan,” “we,” “us,” or “our”). By using the website or purchasing a service, you agree to these Terms. If you are purchasing for an organization, you represent that you are authorized to act for it.
1. Services and scope
Verdyan offers cybersecurity, governance, risk, compliance, and related advisory services, including limited-scope Security Snapshot products. Service descriptions on the website explain the general nature of each offering. A separate signed statement of work or services agreement, where applicable, governs the specific engagement and takes precedence over these Terms if there is a conflict.
2. Security Snapshots
Security Snapshots are preliminary, limited-scope reviews based primarily on information you provide through questionnaires and related communications. Findings, observations, and recommendations reflect the scope and information available at the time of review. A Snapshot is not a comprehensive security assessment, penetration test, independent audit, certification, attestation, legal opinion, or guarantee of security or regulatory compliance.
A HIPAA Security Snapshot does not replace a formal HIPAA Security Rule risk analysis or establish HIPAA compliance. A SOC 2 readiness Snapshot is not a SOC 2 examination or report. NIST-related reviews do not confer certification. Your organization remains responsible for its systems, safeguards, regulatory obligations, and implementation decisions.
3. Customer responsibilities
You agree to provide accurate information and to have permission to share any business information submitted. Do not submit passwords, access tokens, payment-card details, protected health information (PHI), or other highly sensitive personal information through public website forms or Snapshot questionnaires. Contact us to arrange an appropriate secure process if sensitive materials are needed for a separately agreed engagement.
4. Orders, pricing, and payment
Prices and included deliverables are those displayed at checkout when you place your order. Payments are processed through third-party payment providers, including Stripe. Applicable taxes, if any, are presented during checkout. Your purchase is confirmed when the payment processor accepts payment; we may contact you to collect the information needed to perform the service.
5. Delivery and scheduling
Delivery depends on receiving complete, usable information and any necessary customer cooperation. Any estimated delivery timeline communicated before or after purchase is an estimate unless we expressly agree otherwise in writing. We may request clarification before completing a report. Consulting appointments and project milestones are arranged separately.
6. Cancellations and refunds
For cancellation or refund requests, contact contact@verdyan.com with your purchase details. Requests are evaluated based on whether work has started, work already performed, and applicable law. We do not promise a blanket no-refund policy or an automatic refund in every case. Nothing in these Terms limits non-waivable consumer rights.
7. Professional judgment and limitations
Recommendations are advisory and are not a substitute for legal advice, a qualified independent audit, or your own ongoing risk management. No security practice eliminates all risk. We do not warrant that our website, services, or recommendations will prevent incidents, satisfy every regulator, or produce any particular business outcome.
8. Intellectual property and report use
Website content, branding, methodologies, templates, and other pre-existing materials belong to Verdyan or their respective owners. Subject to full payment, a customer may use its purchased report internally for its own business operations and may share it with its professional advisers under appropriate confidentiality protections. The report may not be resold, misrepresented as an independent certification, or presented as an endorsement by a regulator or standards body.
9. Confidentiality and privacy
We handle information submitted through the website as described in our Privacy Policy. Any additional confidentiality, security, or data-processing obligations for a consulting engagement should be established in a separate written agreement before sensitive information is exchanged.
10. Acceptable use
You may not misuse the website, attempt unauthorized access, introduce malicious code, interfere with its operation, impersonate others, or submit information you are not authorized to disclose. We may restrict access or decline service where reasonably necessary to protect the website, our customers, or our operations, subject to applicable law.
11. Third-party services and links
Our website may link to third-party sites or use third-party services, including payment processing and hosting. Those providers operate under their own terms and policies. We are not responsible for third-party content or services outside our control.
12. Disclaimer and liability
To the extent permitted by applicable law, the website and general informational content are provided “as is,” without warranties of uninterrupted availability or fitness for a particular purpose. To the extent permitted by law, Verdyan is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the website or a limited-scope Snapshot. This section does not exclude liability that cannot legally be excluded, and any separately signed services agreement may provide different terms.
13. Changes to these Terms
We may update these Terms as our services or legal requirements change. The version posted here will state its effective date. Material changes affecting existing paid engagements will be handled consistently with the applicable agreement and law.
